BYOND Terms of Use

Effective date: September 20, 2026

These Terms of Use (“Terms”) are a legal agreement between you and BYOND Technologies, Inc. (“BYOND,” “we,” “us”) governing your access to and use of BYOND websites, Atlas, AI coworkers, workflows, applications, integrations, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If your organization has a written order form, enterprise services agreement, data processing agreement, or other signed agreement with BYOND, that agreement controls to the extent it conflicts with these Terms. The public website and preview features may be subject only to these Terms.

Important notice about AI. BYOND applies safeguards intended to improve reliability, security, and responsible operation. Artificial intelligence remains probabilistic and can produce inaccurate, incomplete, biased, outdated, misleading, or unexpected results. AI coworkers and connected workflows can also take actions based on those results. No safeguard can eliminate every error or risk. You are responsible for deciding whether a use is appropriate, configuring suitable controls, and reviewing outputs and actions before relying on them.

1. Eligibility, accounts, and organizational access

You must be legally able to enter into these Terms and, if acting for an organization, authorized to use its systems and data. You are responsible for accurate account information, protecting credentials and devices, using multi-factor authentication when available, and promptly reporting suspected unauthorized access. Tenant administrators control user access, roles, permissions, integrations, and business records for their organization. You are responsible for activity conducted through your account except to the extent caused by BYOND’s breach of its obligations.

2. Your content, data, and instructions

You retain ownership of content you submit or connect to the Services (“Customer Content”). You grant BYOND and its service providers a limited, non-exclusive right to host, process, transmit, reproduce, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and fulfill your authorized instructions, subject to applicable enterprise agreements and our Privacy Policy.

You represent that you have all rights, permissions, notices, and consents required to provide Customer Content and authorize its processing. Do not submit information you are prohibited from using or disclosing. Do not place regulated, highly sensitive, export-controlled, or confidential information into a public preview or any feature not expressly approved for that information by your organization and BYOND.

3. AI outputs require human judgment

Atlas and other AI features may generate text, recommendations, plans, code, classifications, summaries, analyses, or other material (“Outputs”). Outputs may be wrong, fabricated, inconsistent, non-unique, or unsuitable for your circumstances. Similar prompts may produce similar Outputs for other users. BYOND does not represent that an Output is accurate, complete, original, non-infringing, secure, lawful, or fit for a particular purpose.

You must independently review and validate Outputs before using, publishing, sending, executing, or relying on them. Outputs are not legal, medical, financial, employment, tax, accounting, safety, or other professional advice. Do not use the Services or Outputs as the sole basis for decisions that determine a person’s eligibility, employment, credit, housing, insurance, health care, education, legal rights, access to essential services, or other high-impact outcomes. Meaningful review by a qualified person is required wherever an error could materially affect a person, business, system, or legal obligation.

4. AI coworkers, workflows, and connected actions

At your direction, the Services may connect to third-party systems and permit AI coworkers or workflows to create, change, send, publish, delete, purchase, approve, schedule, or otherwise act on information. Those actions can alter records, contact people, expose information, trigger downstream processes, or incur charges. You authorize actions that you configure, approve, or request through the Services.

You are responsible for selecting appropriate tools and data, applying least-privilege access, limiting action scope, setting approval thresholds, testing in a safe environment, monitoring operation, maintaining appropriate backups, and providing a reliable way to stop or correct a workflow. You must not represent an AI coworker as a human or permit it to make commitments on another person’s or organization’s behalf unless you are authorized to do so and any legally required disclosure or review is provided.

5. Acceptable use

You may not use the Services to:

You must comply with usage limits, technical documentation, and safety instructions. BYOND may investigate suspected misuse and restrict or suspend access where reasonably necessary to protect users, third parties, or the Services.

6. BYOND safeguards and your responsibilities

BYOND uses technical and organizational measures designed to support security, privacy, access control, monitoring, and responsible AI operation. These measures reduce risk but do not guarantee that the Services, Customer Content, Outputs, or connected actions will be error-free, uninterrupted, invulnerable, or appropriate for every use. AI systems and threats evolve, third-party systems change, and failures may arise from data, prompts, integrations, models, configurations, or user decisions.

You are responsible for your use case, risk assessment, legal compliance, training, internal policies, review procedures, incident response, and the decisions and actions you take using the Services. You must promptly notify BYOND of a suspected security incident, harmful Output, or unintended automated action and take reasonable steps within your control to limit harm.

7. Third-party services and integrations

The Services may interoperate with third-party products, models, data sources, applications, or websites. Your use of a third-party service is governed by its own terms and privacy practices. BYOND does not control and is not responsible for third-party availability, security, content, changes, fees, or conduct. You authorize BYOND to exchange the information necessary to operate integrations you enable. Disabling an integration may not reverse actions already completed or remove copies retained by the third party.

8. Intellectual property

BYOND and its licensors own the Services, software, designs, documentation, trademarks, and related technology. Except for the limited right to use the Services under these Terms, no rights are transferred to you. As between you and BYOND, and to the extent permitted by law, you may use Outputs generated for you, subject to any third-party rights and your obligations under these Terms. Because AI Outputs may not qualify for intellectual-property protection and may resemble other material, BYOND does not guarantee exclusivity or ownership of Outputs.

If you provide feedback, you grant BYOND a perpetual, worldwide, royalty-free right to use it without restriction or obligation to you.

9. Fees, changes, and availability

Fees, usage allowances, renewal, and payment terms are stated in the applicable order or subscription. You are responsible for applicable taxes other than taxes on BYOND’s income. Preview or beta features may change, contain defects, or be discontinued at any time. BYOND may modify the Services and these Terms as technology, law, and business needs evolve. If a change materially reduces contracted enterprise functionality, the applicable enterprise agreement controls.

10. Suspension and termination

You may stop using the Services at any time, subject to any subscription or enterprise commitments. BYOND may restrict or suspend access when reasonably necessary to address security risk, unlawful use, material breach, nonpayment, harm to others, or threats to the Services. BYOND may terminate public-preview access at any time. Upon termination, your right to use the Services ends; provisions that by their nature should survive will survive, including provisions on ownership, disclaimers, limitations, and indemnity. Data handling after termination is governed by the Privacy Policy and any applicable enterprise agreement.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, PREVIEW FEATURES, AND THIRD-PARTY INTEGRATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BYOND DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BYOND DOES NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, COMPLIANT WITH LAWS APPLICABLE TO YOUR USE, OR CAPABLE OF ACHIEVING A PARTICULAR BUSINESS RESULT. SAFEGUARDS, REVIEWS, FILTERS, SECURITY CONTROLS, AND MODEL EVALUATIONS CANNOT ELIMINATE ALL AI ERRORS, UNEXPECTED ACTIONS, BIAS, HARMFUL CONTENT, VULNERABILITIES, OR DATA LOSS. YOU ASSUME THE RISK OF RELYING ON OUTPUTS OR AUTHORIZING CONNECTED ACTIONS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYOND AND ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SAVINGS, GOODWILL, OR BUSINESS OPPORTUNITY; LOSS, CORRUPTION, OR EXPOSURE OF DATA; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF BYOND AND THOSE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BYOND FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS. These exclusions and limits apply regardless of the theory of liability and allocate risk between the parties. They do not apply where prohibited by law or where a signed enterprise agreement expressly provides otherwise.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless BYOND and its affiliates, officers, employees, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your Customer Content, your configuration or use of AI coworkers and integrations, your reliance on or use of Outputs, your violation of these Terms or law, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from BYOND’s breach of an applicable written agreement. An enterprise agreement may replace or modify this section.

14. Governing terms and disputes

The governing law, venue, and dispute process stated in an applicable signed order or enterprise agreement will control. If no such agreement applies, governing law and jurisdiction will be determined under applicable law. Before filing a claim, each party agrees to give the other written notice and a reasonable opportunity to resolve the dispute informally, unless emergency relief is reasonably necessary. Nothing in these Terms limits non-waivable consumer rights or prevents a party from seeking relief that cannot lawfully be waived.

15. General

You may not assign these Terms without BYOND’s written consent; BYOND may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms and any applicable signed agreements are the entire agreement regarding their subject matter and supersede prior discussions about it.
